The report describes TDK as the only independent HDD head supplier, selling to all three nearline drive makers. Western Digital and Seagate build most of their heads in-house and buy from TDK mainly for added capacity, while Toshiba sources all of its heads from TDK, including development work for its [heat-assisted magnetic recording (HAMR)](https://www.storagereview.com/review/seagate-exos-m-30tb-review-hamr-ing-storage-density) drives. According to Bloomberg, Toshiba opened talks in the spring, and Seagate followed with a higher offer over the summer. ![Seagate Mozaic 3+ illustration of a HAMR recording head with a laser writer, a reader, and its controller board, the class of technology behind the TDK HDD head talks](https://www.storagereview.com/wp-content/uploads/2025/11/Storagereview-seagate-moziac-hamr.png) TDK responded on October 6 that the reports were “not based on any announcement made by the Company.” It said it is pursuing initiatives to raise corporate value, including stronger management of its business portfolio, but that “no decisions have been made at this time.” Toshiba disputed the report, with a spokesperson saying the account was inconsistent with the company’s understanding and denying that three-way discussions among Toshiba, TDK, and Seagate took place. ## Component Consolidation and Nearline AI Demand Nearline drive demand from AI and cloud data centers has turned TDK’s head business around. For the fiscal year ended March 31, 2026, the Magnetic Application Products segment, which includes HDD heads, suspension assemblies, and magnets, posted sales of ¥262.9 billion (about $1.74 billion), up 17.6% year over year. Segment operating profit rose nearly eightfold to ¥27.0 billion (about $179 million) from ¥3.4 billion, lifting the margin from 1.5% to 10.3%. TDK said nearline sales grew about 14% for heads and 35% for suspension assemblies. TDK expects head volume to keep climbing this fiscal year and told investors that inquiries from captive customers, drive makers that also build their own heads, have increased. The company is directing the bulk of its head capital spending toward HAMR and plans to begin mass production of HAMR heads. TDK puts its HDD head business third in global share at 15 to 20%, and its suspension assembly business second at 40 to 45%. ## Architectural Vulnerabilities and Enterprise Supply Risks A Seagate purchase would change how both of its rivals source heads. Toshiba would depend on a direct competitor for every head it ships, including the parts for its HAMR transition. Western Digital, which says its [44TB HAMR drive](https://www.storagereview.com/news/wd-bets-8x-bandwidth-beats-more-terabytes-as-40tb-ultrasmr-starts-shipping) remains on track for the first half of 2027, would lose its outside source of added head capacity. Every head maker would then also be a drive maker, so a deal of that shape would likely draw review from competition regulators in several jurisdictions. Toshiba is adding drive capacity of its own. On October 2, its Philippine HDD subsidiary, Toshiba Information Equipment (Philippines), shipped the first drives from an expanded nearline production line at its Laguna Technopark facility. The subsidiary aims to nearly double its annual production capacity, measured in storage capacity, by fiscal 2027 compared with fiscal 2025.
